Welcome to MemWallet! These Terms of Use (hereinafter referred to as "Terms") govern your access to and use of the MemWallet platform (hereinafter referred to as "the Service"), available at https://app.memwallet.io. By accessing or using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms. 1. General Provisions

1.1. These Terms of Use (hereinafter referred to as "Terms") form a legally binding agreement between the User (hereinafter referred to as "you" or "User") and MemWallet (hereinafter referred to as "we," "us," or "the Service"), which governs your access to and use of the MemWallet platform, available at https://app.memwallet.io.
1.2. MemWallet provides a cryptocurrency platform designed specifically for the trading and exchange of meme tokens. The Service aims to create a secure, user-friendly, and efficient environment for Users to interact with popular meme tokens and manage their cryptocurrency portfolios.
1.3. To use the Service, you must agree to abide by these Terms and any applicable laws and regulations in your jurisdiction. By accessing or using the Service, you confirm that you:
• Are at least 18 years old or have reached the legal age of majority in your jurisdiction.
• Have the legal authority to enter into a binding agreement with MemWallet.
• Will use the Service only for lawful purposes and in compliance with these Terms.
1.4. MemWallet reserves the right to amend, modify, or update these Terms at its sole discretion. Any changes to these Terms will be posted on https://memwallet.io/terms-of-service and it is your responsibility to review these Terms periodically. If you continue to use the Service after any changes are made, you agree to be bound by the updated Terms.
1.5. The Service may include additional guidelines, rules, or policies that apply to specific features or functionalities (e.g., transaction fees, wallet integrations). These additional terms are incorporated into these Terms by reference and must be followed by all Users.
1.6. By accessing or using the Service, you acknowledge and agree that the use of cryptocurrency trading platforms involves inherent risks, including but not limited to market volatility, potential financial losses, and cybersecurity threats. You use the Service at your own risk, and MemWallet disclaims all liability related to such risks.
1.7. MemWallet operates globally; however, the availability of certain features, services, or tokens may vary depending on the laws and regulations of the User’s jurisdiction. It is your responsibility to ensure that your use of the Service complies with the laws applicable in your location.
1.8. If you do not agree with these Terms or any part thereof, you must immediately discontinue use of the Service. Your continued use of the Service constitutes acceptance of these Terms in their entirety.
1.9. MemWallet retains the right to restrict or terminate access to the Service for any User who violates these Terms or engages in activities that are deemed harmful, illegal, or contrary to the purpose and values of the platform.

2. Definitions

For the purposes of these Terms, the following terms are defined as follows:

2.1. User
Any individual or entity that accesses, registers, or uses the MemWallet platform. A User includes, but is not limited to, individuals trading or exchanging meme tokens and those browsing the publicly available content on the platform.
2.2. Account
A personal profile created by the User on the MemWallet platform to access its features, including but not limited to trading, exchanging meme tokens, and managing cryptocurrency. Each Account is unique to the User and contains personal information, transaction histories, and other relevant data.
2.3. Meme Tokens
A type of cryptocurrency that is often community-driven, associated with internet culture, and typically designed for fun or entertainment purposes. Meme tokens are tradable digital assets available for buying, selling, and exchanging on the MemWallet platform. Examples may include tokens such as Dogecoin, Shiba Inu, and other similar cryptocurrencies.
2.4. Service
The MemWallet platform, available at https://app.memwallet.io, which provides tools and functionalities to facilitate the trading and exchange of meme tokens. The Service includes the website, mobile application (if applicable), and all related features, software, and content provided by MemWallet.
2.5. Content
Any material or information provided, displayed, or made available through the Service, including but not limited to text, images, graphics, videos, software, and other data. This also includes User-generated content shared on the platform, such as transaction details or feedback.
2.6. Third Parties
External entities, individuals, or organizations that are not directly controlled by MemWallet but may interact with the Service. This includes payment processors, wallet providers, analytics tools, and other service providers integrated with or used by MemWallet to enhance its functionality.
2.7. Cryptocurrency
A digital or virtual currency secured by cryptography, which operates on blockchain technology. Cryptocurrencies are decentralized by design, meaning they are typically not issued or regulated by any central authority.
2.8. Personal Data
Any information that relates to an identified or identifiable User, such as name, email address, cryptocurrency wallet address, and transaction history. Personal Data is collected, stored, and processed in accordance with the MemWallet Privacy Policy.
2.9. Transaction
Any action performed by a User on the MemWallet platform involving the buying, selling, or exchanging of meme tokens. Transactions may also include transferring tokens to or from external wallets.
2.10. Wallet
A digital wallet that allows Users to store, receive, and send cryptocurrency, including meme tokens. Wallets may be integrated into the MemWallet platform or managed externally by the User.
2.11. Blockchain
A distributed ledger technology that records all cryptocurrency transactions across multiple computers in a secure and transparent manner. Blockchain serves as the underlying technology for meme tokens and other cryptocurrencies traded on MemWallet.
2.12. Fees
The charges or costs incurred by Users for utilizing certain features of the Service, such as transaction fees, withdrawal fees, or other fees as outlined by MemWallet. All fees will be transparently displayed before any transaction is completed.
2.13. Prohibited Activities
Any actions or behaviors explicitly disallowed under these Terms, including illegal activities, fraudulent practices, or any misuse of the Service. Prohibited Activities are detailed in Section 4 of these Terms.
2.14. Terms
This document, which sets out the legally binding agreement between MemWallet and the User, governing the access to and use of the Service.
2.15. Jurisdiction
The legal authority or governing laws under which these Terms are created and enforced. Users are responsible for ensuring compliance with their local jurisdiction when using the Service.
2.16. User-Generated Content
Any content created or shared by Users on the Service, such as comments, feedback, or transaction data. Users are responsible for the legality and appropriateness of all User-Generated Content shared on the platform.
2.17. Affiliate
Any entity that directly or indirectly controls, is controlled by, or is under common control with MemWallet. Affiliates may contribute to the operation or promotion of the Service.
2.18. Support

3. Account Registration and Security

3.1. Account Registration
To access the full functionality of the Service, including trading and exchanging meme tokens, Users are required to create an account. During the registration process, Users must provide accurate, complete, and up-to-date information, including but not limited to their name, email address, and any other required details.
3.2. Eligibility Requirements
By registering for an account, you represent and warrant that: • You are at least 18 years old or have reached the legal age of majority in your jurisdiction. • You have the legal capacity to enter into these Terms and use the Service. • You are not prohibited from accessing the Service under applicable laws or regulations, including but not limited to sanctions or restrictions in your jurisdiction.
3.3. Account Responsibilities
Users are solely responsible for maintaining the confidentiality and security of their account credentials, including their username, password, and any associated authentication methods (e.g., two-factor authentication). You agree to:
• Use a strong and unique password for your account.
• Regularly update your password to enhance security.
• Prevent unauthorized access to your account by keeping your login credentials confidential.
• Notify MemWallet immediately if you suspect unauthorized access or any security breaches involving your account.
3.4. Unauthorized Account Use
If you become aware of or suspect any unauthorized use of your account or a breach of security, you must notify MemWallet immediately at info@memwallet.io. MemWallet is not responsible for any losses or damages resulting from unauthorized access to your account if you fail to notify us promptly.
3.5. Account Suspension or Termination
MemWallet reserves the right to suspend, restrict, or terminate your account if it determines, at its sole discretion, that:
• You have violated these Terms. • Your account has been involved in prohibited activities or fraudulent transactions. • Your account poses a security risk to the Service or other Users. • You have provided false, incomplete, or misleading information during registration or account use.
3.6. Account Updates
Users are responsible for ensuring that the information associated with their account remains accurate and up-to-date. This includes updating your email address, contact details, or other relevant information as necessary.
3.7. Account Deletion
Users may delete their accounts at any time by following the instructions provided in the Privacy Policy or by contacting MemWallet at info@memwallet.io. Upon account deletion, certain information may be retained by MemWallet as required by law or for legitimate business purposes, as outlined in the Privacy Policy.
3.8. Multiple Accounts
Each User is permitted to create and use only one account, unless explicitly authorized by MemWallet. Creating multiple accounts for fraudulent purposes, to bypass restrictions, or for any other prohibited activities is not allowed and may result in account suspension or termination.

4. Prohibited Activities

Users agree not to engage in the following prohibited activities:

4.1. Illegal Activities – Using the Service for activities that violate any applicable laws or regulations, including but not limited to money laundering, fraud, and financing of terrorism. 4.2. Unauthorized Access – Attempting to gain unauthorized access to the Service, other Users’ accounts, or any part of MemWallet’s systems or networks.

4.3. Harmful Content – Uploading, sharing, or distributing content that is harmful, offensive, defamatory, or otherwise inappropriate.
4.4. Manipulative Practices – Engaging in activities such as price manipulation, wash trading, or other deceptive practices that harm the integrity of the cryptocurrency market.
4.5. Multiple Accounts – Creating multiple accounts for the purpose of circumventing restrictions or engaging in fraudulent activities.
4.6. Disruption – Interfering with or disrupting the functionality, security, or performance of the Service.

5. Service Functionality

5.1. The Service provides tools and features for trading and exchanging meme tokens. These features are accessible through the User’s account and are subject to availability.
5.2. Users acknowledge and agree that cryptocurrency markets are volatile and that trading involves significant financial risks. MemWallet does not guarantee the value, performance, or liquidity of any meme tokens.
5.3. MemWallet may, at its sole discretion, modify, suspend, or discontinue any part of the Service without prior notice.

6. Fees and Payments

6.1. Users may be required to pay transaction fees for using certain features of the Service. These fees will be transparently displayed before the User confirms a transaction.
6.2. Payments are processed through third-party providers, and MemWallet is not responsible for delays, errors, or failures caused by these providers.
6.3. All fees are non-refundable unless explicitly stated otherwise.
6.4. Users are responsible for ensuring that they have sufficient funds in their linked cryptocurrency wallets to complete transactions.
6.5. MemWallet offers gas-free transactions for certain eligible operations. Gas-free transactions allow Users to conduct specific activities, such as exchanges or transfers, without incurring blockchain gas fees.

7. Intellectual Property

7.1. All intellectual property rights in the Service, including its design, trademarks, software, and content, are owned by or licensed to MemWallet.
7.2. Users may not:
• Copy, reproduce, modify, or distribute any part of the Service without prior written consent from MemWallet.
• Use MemWallet’s trademarks, logos, or branding without authorization.
7.3. By submitting feedback, suggestions, or ideas to MemWallet, you grant MemWallet the right to use such submissions without compensation or acknowledgment.

8. Limitation of Liability

8.1. MemWallet is not liable for:
• Financial losses resulting from trading or market fluctuations. • Loss or theft of cryptocurrency due to User negligence or third-party attacks.
• Service interruptions, errors, or technical issues.
8.2. MemWallet’s total liability for any claim related to the Service will not exceed the total fees paid by the User in the three months preceding the event giving rise to the claim.

9. Termination of Use

9.1. MemWallet reserves the right to suspend or terminate a User’s account for: • Violations of these Terms. • Engagement in illegal or harmful activities.
9.2. Users may terminate their account at any time by following the instructions provided in the Privacy Policy or contacting info@memwallet.io.
9.3. Upon termination, MemWallet may retain certain data as required by law or for legitimate business purposes.

10. Third-Party Services

10.1. The Service may integrate with or rely on third-party providers to enhance its functionality and User experience. These third-party providers may include, but are not limited to:
• Cryptocurrency wallets for storing and managing tokens.
• Payment processors for facilitating transactions.
• Analytics tools for tracking and improving platform performance.
10.2. Users acknowledge that third-party services are governed by their own terms of use and privacy policies, which are separate from the Terms of MemWallet. It is the User's responsibility to review and understand the terms and policies of any third-party services they choose to use in conjunction with MemWallet.
10.3. MemWallet makes reasonable efforts to ensure that third-party integrations are reliable, secure, and beneficial to Users. However, MemWallet does not guarantee the performance, availability, or security of any third-party services.
10.4. MemWallet is not liable for any issues arising from the use of third-party services, including but not limited to: • Service interruptions or failures.
• Unauthorized access to User data by third-party providers.
• Fees or charges imposed by third-party services.
10.5. In cases where third-party services are required to complete a transaction or utilize a specific feature of the Service, MemWallet will transparently inform Users of the involvement of such providers and any associated requirements or fees.

11. Cross-Border Use

11.1. The Service may be accessed from locations outside its primary jurisdiction. Users are responsible for ensuring compliance with local laws and regulations.
11.2. MemWallet does not guarantee the availability or legality of its features in all regions.

12. Governing Law and Dispute Resolution

12.1. These Terms are governed by and construed in accordance with international jurisdiction, ensuring compliance with universally recognized legal principles and standards.
12.2. Any disputes arising from these Terms will first be resolved through good-faith negotiations. If no resolution is reached, disputes will be submitted to competent courts in accordance with international jurisdiction.
